Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Commlo platform operated by Commlo ("we," "us," or "our").

Acceptance of Terms

By accessing or using our service, you agree to be bound by these Terms. If you do not agree to any part of these Terms, you may not access or use the service. We reserve the right to update these Terms at any time, and your continued use of the service constitutes acceptance of any changes.

Service Description

Commlo is a commute planning platform designed for real estate professionals in the Chicago Metra area. Our service provides transit time estimates, route analysis, and tools to help agents assist their clients in evaluating properties based on commute considerations. While we strive for accuracy, transit estimates are approximations and may vary due to schedule changes, delays, or other factors.

Service Availability

Commlo does not guarantee any specific level of uptime or availability. The service is provided on an "as available" basis without any uptime service-level agreement (SLA). We may perform scheduled or unscheduled maintenance at any time, which may result in temporary service interruptions. We shall not be liable for any damages, losses, or costs arising from service downtime, whether planned or unplanned.

Privacy Policy

Our Privacy Policy is incorporated into these Terms by reference. By using the service, you acknowledge that you have read and agree to the Privacy Policy, which describes how we collect, use, and protect your personal information. In the event of a conflict between these Terms and the Privacy Policy, the Privacy Policy shall govern with respect to data handling practices.

User Accounts

To access certain features, you must create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Providing accurate and complete registration information
  • Notifying us immediately of any unauthorized use of your account

Team and Organization Accounts

If you create or manage a team or organization account, the following additional terms apply:

  • The account owner is responsible for all activity conducted by team members under the organization account, including compliance with these Terms.
  • An organization administrator has the authority to accept these Terms on behalf of all members of the organization.
  • The account owner is responsible for managing team member access and ensuring that removed members no longer have access to organization data.
  • Billing for team accounts is consolidated under the organization account. The account owner is responsible for all charges incurred by team members.

Data Ownership

You retain full ownership of all data you upload, create, or provide through the service ("Your Data"). By using the service, you grant Commlo a limited, non-exclusive, royalty-free license to process, store, and display Your Data solely for the purpose of providing and improving the service. This license terminates when you delete Your Data or your account.

You may export Your Data at any time through the account settings or by contacting support. Upon account termination — whether initiated by you or by us — Your Data will be permanently deleted from our systems within 30 days, except where retention is required by law or necessary to resolve disputes.

Payment Terms

Paid features are billed on a subscription basis. By subscribing, you agree to pay the applicable fees. Subscriptions automatically renew unless canceled before the renewal date. Refunds are subject to the Refund Policy below. We reserve the right to change pricing with reasonable notice.

Free Trial

Commlo offers a 14-day free trial for new accounts. During the trial period, you will have access to the full set of paid features at no charge. No payment method is required to start a trial.

At the end of the 14-day trial period, your access to paid features will be automatically restricted. You may continue using the service on the free tier or subscribe to a paid plan to retain full access. We will not charge you automatically when the trial expires.

Refund Policy

Refunds are subject to the following terms:

  • Monthly plans: No prorated refunds are provided for monthly subscriptions. If you cancel during a billing cycle, you will retain access until the end of the current period.
  • Annual plans: You may request a full refund within 14 days of your initial annual purchase or renewal. Refund requests made after the 14-day window will not be honored.
  • How to request a refund: To request a refund, contact our support team at support@commlo.com with your account email and the reason for your request. Approved refunds will be processed within 10 business days.

Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the service
  • Interfere with or disrupt the service or its infrastructure
  • Scrape, crawl, or use automated means to access the service without permission
  • Resell or redistribute the service without our written consent
  • Upload malicious code or attempt to compromise security
  • Exceed the published rate limits for the API. Default limits are 1,000 requests per hour per account, though specific endpoints may have different thresholds. Sustained or intentional rate limit abuse may result in temporary or permanent access suspension.
  • Perform bulk scraping or mass data extraction of transit schedules, property data, or any other content available through the service
  • Share login credentials across multiple individuals. Each user must maintain their own account. Team access is available through organization accounts.
  • Use the service to make misleading, false, or deceptive real estate claims, including misrepresenting commute times, transit accessibility, or property proximity to transit stations

Embed Widget Usage

Commlo may provide embeddable widgets that allow you to display transit information on third-party websites. Use of embed widgets is subject to the following terms:

  • Embed widgets may only be used for their intended purpose of displaying transit and commute information in connection with real estate listings or related content.
  • Embed widgets are subject to the same rate limits as the API (1,000 requests per hour per account). Excessive usage may result in throttling or suspension of embed access.
  • You must not modify, reverse-engineer, or obscure the embed widget code or any Commlo branding included in the widget.
  • Commlo reserves the right to disable embed widgets at any time if usage violates these Terms or places undue burden on our infrastructure.

Intellectual Property

The service and its original content, features, and functionality are owned by Commlo and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our service without express written permission.

Limitation of Liability

To the fullest extent permitted by law, Commlo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability for any claim arising from your use of the service shall not exceed the amount you paid us in the twelve months preceding the claim. Transit time estimates are provided as-is and should not be the sole factor in any real estate decision.

Third-Party Services

The Commlo platform integrates with and relies on third-party services to provide its functionality. These include, but are not limited to:

  • Metra GTFS data: Transit schedule and route data is sourced from Metra's publicly available GTFS feeds. We do not guarantee the accuracy, completeness, or timeliness of this data.
  • Google Places API: Address lookup and place data is provided by Google. Results are subject to Google's terms and availability.
  • OSRM (Open Source Routing Machine): Driving and walking route calculations are provided by OSRM. Route accuracy depends on the underlying OpenStreetMap data.
  • Stripe: Payment processing is handled by Stripe. Your payment information is managed directly by Stripe and is subject to Stripe's Terms of Service.

Commlo makes no guarantee regarding the availability, accuracy, or continued operation of any third-party service. We shall not be held liable for any disruption, data inaccuracy, or loss arising from the unavailability or malfunction of third-party services.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the service shall be resolved exclusively in the state or federal courts located in Oklahoma County, Oklahoma.

Before initiating any formal legal proceeding, you agree to first attempt to resolve the dispute informally by contacting us at legal@commlo.com. We will attempt to resolve the dispute through good-faith negotiation within 30 days. If the dispute cannot be resolved informally, either party may proceed with formal legal action.

Termination

We may terminate or suspend your account and access to the service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the service will cease immediately. You may also delete your account at any time through your account settings.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the platform and updating the "Last updated" date. Your continued use of the service after changes are posted constitutes acceptance of the revised Terms.
